VANCOUVER, BC / July 2, 2021 / Medaro Mining Corp. (CSE:MEDA) (“Medaro” or the “Company“) is pleased to announce that it intends to complete a non-brokered private placement (the “Private Placement“) of up to 3,076,923 units (each, a “Unit“) of the Company at a price of $0.65 per Unit, for gross proceeds of up to $2,000,000. Each Unit will consist of one (1) common share and one half of one (1/2) common share purchase warrant, each warrant being exercisable at a price of $0.85 for twenty-four (24) months from issuance. The Company intends to use the proceeds of the Private Placement for exploration expenditures, working capital and to fund its recently announced joint venture to develop a new lithium extraction technology.
The Company may pay finder’s fees to eligible parties who introduce subscribers to the Private Placement. All securities issued in connection with the Private Placement will be subject to a four-month and one-day statutory hold period in accordance with applicable securities laws.
The securities to be issued under the Private Placement have not been and will not be registered under the U.S. Securities Act of 1933, as amended, and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements.
